201.1 Article I Name and Affiliation
The name of this organization shall be the Maine Association for Supervision and Curriculum Development, hereafter referred to as Maine ASCD or the Association, and it shall be affiliated with the Association for Supervision and Curriculum Development, hereafter referred to as ASCD.
201.2 Article II Purposes
The purpose of the Association shall be to provide leadership in the areas of curriculum development, supervision and instruction as well as foster a climate for personal and professional improvement.
201.3 Article III Membership
201.3.1 Any person who is interested in supervision and curriculum development may become a member upon payment of annual dues as provided in the By-Laws. A member shall be entitled to hold office and be eligible for all rights and privileges as stated in this Constitution. All members shall be encouraged to join and participate in ASCD.
201.3.2 This Association fully supports a policy of equal opportunity and will not discriminate in membership eligibility on the basis of race, color, religion, national origin, or sex. This organization will neither accept invitations from, nor participate in, any activity or organization that does not support an equal opportunity or nondiscrimination policy.
201.3.3 In order to support our belief that diversity strengthens society, the Association shall actively seek members who represent diversity in gender, age, job role, ethnicity, geographic location, and viewpoint.
201.3.4 The membership year shall be established according to the anniversary date for each member.
201.4 Article IV Board of Directors Officers
201.4.1 The officers of the Association shall be a President (who shall have been the President-Elect); a Past-President (who shall be the retiring President); a President-Elect (who shall have been Vice-President); a Vice-President; a Secretary; and a Treasurer. A person must be a member in good standing of ASCD and Maine ASCD for one year prior to becoming a Maine ASCD officer or serving on the ASCD Leadership Council.
201.4.2 The term of office will begin July 1 and end on June 30 for the duration of the term.
201.4.3 The President- Elect, President, Past-President, and Vice-President will each serve one-year terms. The Secretary will be elected for a two-year term. The Treasurer shall be appointed by the Board of Directors for a two-year term.
201.4.4 Successive officers of the Association are the Vice-President to President-Elect, President-Elect to President, and President to Past-President.
201.4.5 Nominees for Vice-President and Secretary shall be selected from the general membership through a nomination process with final selections made by a Nominations Committee that is chaired by the President.
201.4.6 Contested elections for Vice-President and Secretary will take place by mail. Results will be announced at the annual business meeting.
201.4.7 The Board shall have the power to hire an Executive Director.
201.5 Article V Board of Directors: Membership and Responsibilities
201.5.1 The Board of Directors shall be composed of the President, President-Elect, Vice-President, Past-President, Secretary, Treasurer, and ten at-large Board members. Contested elections for seven at-large Board members will take place by mail. Three at-large Board members will be appointed by the Board of Directors. Results of elections and appointments will be announced at the annual business meeting.
201.5.2 Nominees for at-large members of the Board of Directors shall be selected from the general membership through a nomination process with final selections made by a Nominations Committee that is chaired by the President.
201.5.3 The Board of Directors shall constitute the governing body of the Association. Duties of the Board of Directors are defined in the By-Laws. Committees may be established to assist in the work of the Association.
201.5.4 The Board of Directors shall meet at the call of the President at least four times annually, with at least one meeting designated as a general membership/business meeting which offers members an opportunity to govern the affairs of the Association.
201.5.5 The Executive Director shall be directly responsible to the Board of Directors through the President and shall accept duties and responsibilities as directed by the Board.
201.6 Article VI Representatives to ASCD Leadership Council
201.6.1 Representatives to the Leadership Council of the Association for Supervision and Curriculum Development (ASCD) shall be provided according to ASCD requirements. These representatives shall be designated as guaranteed representatives. Members of the ASCD Leadership Council must be members in good standing in ASCD for the year prior to their selection.
201.6.2 Two guaranteed representatives will serve for a term of 3 years each.
201.6.3 Terms of office shall begin on July 1 and end on June 30. If ASCD notifies the affiliate that it is entitled to any proportional representatives, proportional representatives serve a one year term, renewable for three terms if ASCD designates one proportional representative for every 5,000 ASCD members in the affiliate's geographic area. Counts are done on December 31. Terms will begin on the subsequent July 1.
201.6.4 Representative Rotation and Appointments- Only persons who have been members of the Board of Directors for three years prior to be appointed as proportional representatives. (The rotation of terms will be found in Section 403.1)
201.6.5 Two Leadership Council representatives will serve on the ASCD Leadership Council. These representatives will participate in Leadership Council activities and report back to Maine ASCD Board of Directors. Other responsibilities include: create and adopt ASCD positions, develop action plans to lead and support constituencies with the Association's values and beliefs, review the effectiveness of the actions on the adopted positions, elect nine members to the Board of Directors, appoint members-at-large to the Leadership Council as needed to ensure diversity, contribute to the development of and provide feedback to the Board of Directors on the Association's Strategic Plan, policies, and programs, establish working groups to accomplish the work of the Leadership Council, and examine, on a regular basis, its own performance and identify areas for Leadership Council development. 201.7 Article VII Constitution Review and Amendment
201.7.1 This constitution shall be subject to systematic review every five years, as part of the Association's strategic planning process, as authorized by the Board of Directors, or as requested by ASCD.
201.7.2 If the Board of Directors determines that the constitution needs revision, it can either develop proposed revisions itself or appoint a Constitutional Revision Committee to recommend revisions to the Board of Directors for Board revision and Board approval. The Board of Directors will submit all proposed revisions to the membership for approval at the annual business meeting.
201.7.3 This Constitution may be amended at any business meeting for the transaction of official business by a vote of two-thirds of the members present. The amendment shall be submitted in writing to the membership at least thirty days prior to the meeting.
201.8 Article VIII By-Laws: Amendments
201.8.1 Details of the activities of the Association shall be regulated by the By-Laws. These may be amended (1) at any annual meeting for the transaction of official business by a majority vote of the members present or (2) by a mail vote of two thirds of the members replying; provided, in either case, that notice has been given thirty days in advance.
201.9 Article IX Development Funds
201.9.1 The Association shall have the power to create and manage one or more development funds in furtherance of the Associations charitable purposes. The Board of Directors shall have the authority to solicit and accept development gifts from the membership, the general public, non-governmental organizations, or affiliates of the government, and shall also have the authority to set aside surplus funds of the Association in Board restricted accounts which shall be considered part of the development fund of the Association. The Board of Directors shall appoint an Development Committee, made up of five members, including the Immediate Past President, who shall serve as Chair of the Committee, the Treasurer and Executive Director, and such Committee shall be in charge of investments and disbursements of development funds, subject however to the development and investment policies adopted by the Board of Directors from time to time. 201.10 Article X Assets on Liquidation
201.10.1 No part of the net income, revenue, and grants of the Association shall inure to the benefit of any member, officer, or any private individual (except that reasonable compensation may be paid for services rendered in connection with one or more of its purposes), and no member, officer, or any private individual shall be entitled to share in the distribution of any part of the assets of the Association, on its dissolution or liquidation. In the event of such dissolution or liquidation, the assets of the Association, after payments of debts or obligations, shall be transferred to an organization with federal tax exemption for charitable and educational uses and purposes similar to those of this Association. This exempt organization shall be designated by the final Board of Directors of the Association. (May 1998)
The Maine ASCD By-Laws are an elaboration of the general terms of the Maine ASCD Constitution and are a set of rules adopted by the Association for its internal management and governance.
202.1 Article I Membership Dues
202.1.1 The annual dues for membership in this Association shall be determined by the Board of Directors. The dues shall include all privileges of membership including any publications of the Association. Membership is available directly through the Maine ASCD or through ASCD's Joint Dues Solicitation Program.
202.2 Article II Membership Year
202.2.1 The period of membership of each person who joins the Association and pays the annual membership dues shall be twelve calendar months, commencing from the first day of the month in which the person's membership is processed and renewable on that anniversary date. A member shall be entitled to receive only those privileges including those publications approved annually by the Board of Directors.
202.3 Article III Fiscal Year
202.3.1 The fiscal year shall begin on July 1st of any given year and continue through June 30th of the succeeding year.
202.4 Article IV Meetings
202.4.1 The Association shall hold at least one business meeting annually for the purpose of offering members an opportunity to govern the affairs of the Association at a place selected by the Board of Directors. Members of the Association shall receive at least thirty days notification of such a meeting.
202.4.2 The President or a quorum of the Board of Directors shall call at least three other meetings of the Board of Directors annually as needed to plan and conduct the work of the Association.
202.5 Article V Elections
202.5.1 The President shall appoint and chair a nominating committee consisting of the President-Elect and at least three non-board members in good standing with Maine ASCD.
202.5.2 The nominations committee shall solicit the general membership for interested candidates and nominations for all open positions. Criteria for candidacy and selection by the nominating committee will be identified in the solicitation which will include attention to diversity of role and geography.
202.5.3 Prospective candidates shall submit a letter of interest and vitae identifying connections to Maine ASCD mission, vision, goals, and activities. Prospective candidates may be interviewed by members of the nominations committee prior to selection as a candidate.
202.5.4 The Nominations Committee shall select a minimum of two candidates for each opening when possible based upon the identified criteria and process. A ballot representing the candidates' involvement in education and Maine ASCD will be distributed to the general membership by April 1st.
202.5.5 If the Board of Directors feels it is necessary to maintain diverse representation on the Board, the ballot can be fully or partially organized to support this concept.
202.5.6 There shall be no additional campaigning by the candidates nor by members on their behalf.
202.5.7 The election will be held the last two weeks of March. Deadlines for receipt of ballots will be identified on the ballot. All candidates will be notified of the results by April 15.
202.5.8 The terms for each office shall be for one year except for the Secretary who is elected for a two-year term and the Treasurer who is appointed by the Board of Directors for a two-year term, The term for each At-Large Board member shall be two years.
202.6 Article VI Quorum
202.6.1 The members present at the annual meeting shall constitute a quorum for the transaction of business. Nine or more members of the Board of Directors shall constitute a quorum of that body.
202.7 Article VII Duties of Board of Directors
202.7.1 The Board of Directors shall formulate policy for this Association, set the time and place for the annual meeting, establish necessary committees to carry out the work of the Association, fill vacancies in office until the next election and implement all other activities of the Association not specifically assigned to other members.
202.8 Article VIII Duties of Officers
202.8.1 The President shall preside at all meetings of the Board of Directors and the Association, shall appoint members and shall perform all other duties pertaining to the office as specified in the Maine ASCD Constitution and By-Laws. The President shall be one of the representatives to the ASCD Leadership Council, commencing 2004.
202.8.2 The President-Elect shall preside at all meetings of the Board of Directors and the Association in the absence of the President and shall perform duties as specified in the Maine ASCD Constitution and By-Laws, as well as other duties assigned by the President. The President-Elect shall serve as a Guaranteed Representative to the ASCD Leadership Council commencing 2003.
202.8.3 The Vice-President shall preside at all meetings of the Board of Directors and the Association in the absence of the President, and President- Elect. The Vice-President shall chair the Program Planning Committee and perform the duties specified in the Maine ASCD Constitution and By-Laws, as well as other duties assigned by the President.
202.8.4 The Past-President shall preside at all meetings of the Board of Directors and the Association in the absence of the President, President-Elect and Vice-President, and shall perform the duties specified in the Maine ASCD Constitution and By-Laws, as well as other duties as are assigned by the President.
202.8.5 The Secretary shall record and maintain the minutes of all meetings of the Board of Directors and the Association and shall be responsible for any correspondence of the Association as assigned by the President and shall perform the duties specified in the Maine ASCD Constitution and By-Laws, as well as other duties assigned by the President.
202.8.6 The Treasurer will be responsible for overseeing the finances of the organization and for maintaining accurate records of receipts and expenditures and shall prepare and submit an annual report to the Board of Directors and the Association
202.9 Article IX Officer Vacancies
202.9.1 If the office of the President is vacated for any reason except expiration of term, the President-Elect shall fill the vacancy and perform the duties.
202.9.2 If the office of the President-Elect is vacated for any reason except expiration of term the Vice-President shall fill the vacancy and perform the duties.
202.9.3 If the office of the Vice-President is vacated for any reason except expiration of term, the President may appoint a replacement with the approval of the Board of Directors for the duration of the term. If the vacancy occurs within three months of the next election however, the office may be left vacant, or the President with the approval of the Board of Directors may appoint one of its members to carry out the duties of the office.
202.10 Article X Removal from Office
202.10.1 A board member may be removed by vote of three-fourths of the Board of Directors or by recall from two-thirds of the membership voting at any regular meeting of the Association.
202.11 Article XI Committees
202.11.1 Committees of the Association shall be appointed by the President and charged in writing with their responsibilities. The Board of Directors shall provide assistance as needed in the development of committee activities.
202.12 Article XII Representatives
202.12.1 Any representative to an ASCD committee may serve on the Maine ASCD Board of Directors as a non-voting member.
202.13 Article XIII Publications
202.13.1 The Association shall publish such newsletters, journals and other publications as the Board of Directors may direct.
202.14 Article XIV Expenditures
202.14.1 The funds of the Association shall be disbursed in accordance with annual budgets as approved by the Board of Directors. The transfer of unused balances from one line in the budget to another budget line shall be at the discretion of the Board. The Board shall audit the accounts prepared by the Treasurer each year.
202.15 Article XV Reviewing and Amending
202.15.1 Robert's Rules of Order, Revised, shall be the authority governing all matters of parliamentary procedure not otherwise specified in the Constitution of these By-Laws.
202.15.2 The By-Laws shall be periodically reviewed in conjunction with the constitutional review process as specified in the Constitution.
202.15.3 The By-Laws may be amended as specified in the Constitution.
202.16 Article XVI Other Matters of Management
202.16.1 All other matters of management that assist in the clarification of purposes and procedures of Maine ASCD shall be contained in the manual entitled, Maine Association for Supervision and Curriculum Development Leadership Handbook.
202.16.2 The Maine Association for Supervision and Curriculum Development Leadership Handbook will be periodically reviewed and/or revised by the Board of Directors.
